Mudarabah is a one-way partnership: an investor funds a manager who runs the business, profit is shared by ratio, and the investor alone absorbs losses. Musharakah is a two-way partnership where every partner puts in capital and losses are shared in proportion to capital. Choose Mudarabah when you have capital but not time or skill (or when you have skill but no capital); choose Musharakah when both sides are investing money and want shared control. Islamic banks use Mudarabah for profit-sharing deposit accounts and Musharakah for financing where the customer brings equity.

Capital from one side, work from the other
One party (rabb al-mal) provides all the capital and the other (mudarib) provides the labor and management. Profit is split by a pre-agreed ratio; financial loss falls entirely on the capital provider unless the manager was negligent or breached the agreement. Governed by AAOIFI Shariah Standard 13.
Both sides put in capital
Two or more partners contribute capital (and usually work) to a venture. Profit is shared by an agreed ratio; losses are shared strictly in proportion to capital contributed. Governed by AAOIFI Shariah Standard 12. Diminishing Musharakah is the variant used in home financing.

No. A fixed or minimum return to the capital provider is riba, because it is a guaranteed payment on money regardless of outcome. What the parties can do is agree a profit ratio and set a target the manager aims for; they can also agree that profit above a hurdle goes to the manager as an incentive. The capital itself cannot be guaranteed by the mudarib, though a third party unconnected to the deal may volunteer a guarantee.
Because the manager has already lost something real: their time and work, for which they receive nothing if there is no profit. The structure deliberately matches each party's loss to what they contributed. If the manager was negligent or broke the agreement, they become liable for the loss.
They are the closest conventional analogues. A limited partnership with a passive capital partner and an active general partner resembles Mudarabah; a member-managed LLC with capital from everyone resembles Musharakah. The Shariah requirements sit on top of the legal form: no guaranteed returns, losses by capital share, profit by agreed ratio, and a halal business. You can write these terms into an operating agreement.
Mudarabah. In a profit-sharing investment account the depositor is the capital provider and the bank is the manager, investing the pooled funds in halal financings and paying a declared share of the profit. This is why returns are announced after the fact rather than promised in advance.
Scholars differ. The majority view is that a partner cannot draw a fixed salary for managing the partnership because that would be a guaranteed return; instead the working partner is given a larger profit share. Some contemporary boards permit a market-rate management fee under a separate agency (wakalah) contract if all partners agree. Follow the ruling of the Shariah board or scholar you rely on.
